General Terms of Sale
General Terms of Sale (GTS) of the AI ARTEDUSA service — pay-per-use pricing and billing terms.
ARTICLE 1 - PURPOSE AND SCOPE
These General Terms of Sale (hereinafter 'GTS') define the pricing conditions and billing terms of the AI ARTEDUSA service. They apply to any subscription and use of the Service by a professional (B2B).
The GTS complement the Terms of Use (ToU) and together form the contract between the Publisher and the User.
ARTICLE 2 - PRICING
The Service is billed on a pay-per-use basis, with no fixed subscription or duration commitment: the User is billed based on their actual use of the Service.
Phone calls handled by the AI bot are billed per minute of active conversation. Email conversations are billed per AI reply sent.
The applicable unit rate is the one shown on the price grid published on the website ("Pricing" page) in force at subscription time; for public buyers, it also appears on the accepted quote or purchase order. It is shown on each monthly invoice. Only actual usage is billed, with duration rounded up to the nearest minute for calls.
ARTICLE 3 - BILLING AND PAYMENT
Invoices are issued monthly, on the 1st of each month, for the previous month's consumption.
For private clients (B2B), payment is made automatically by charge to the payment method registered via Stripe. In the event of late payment, late payment penalties equal to three times the applicable legal interest rate will apply automatically, without prior notice, together with a fixed debt recovery indemnity of 40 euros (Articles L441-10 and D441-5 of the French Commercial Code).
For public buyers (local authorities and their institutions), billing is by invoice via administrative mandate, where applicable through the Chorus Pro platform, in compliance with the global payment period applicable to public entities.
ARTICLE 4 - SUSPENSION FOR NON-PAYMENT
In the event of a failed payment from a private client, the charge is automatically retried by Stripe. After 3 consecutive failed charges, the Publisher reserves the right to suspend access to the Service. Reactivation occurs as soon as a valid payment method is updated.
Suspension of the Service does not release the User from the obligation to pay amounts due.
ARTICLE 5 - PRICING CHANGES
The Publisher reserves the right to modify its pricing. Any pricing change will be communicated by email at least 60 days before it comes into force. A User who does not accept the change may terminate their contract without penalty before the new pricing takes effect.
ARTICLE 6 - REVERSIBILITY AND DATA RETURN
Upon expiration or termination of the contract, for whatever reason, the Publisher guarantees the User the reversibility of their data to ensure operational continuity and avoid any situation of technical dependency.
Throughout the term of the contract and until the expiry of the return period, the User may at any time self-export, from their dashboard, their call and conversation history in CSV format, as well as the documents in their knowledge base.
The return terms are as follows:
- Format: exportable structured data (CSV for call and conversation history) and return of knowledge base documents deposited by the User.
- Timeline: return is made at the User's request submitted no later than 30 days after the end of the contract; the Publisher provides the data within a reasonable period following this request.
- Deletion after return: at the end of the return period, account data is deleted upon account closure or, upon erasure request (Art. 17 GDPR), within the shortest possible time; recordings and transcripts follow the retention periods set out in the Privacy Policy (90 days and 12 months respectively), without prejudice to legal retention obligations for accounting and billing data (10 years).
